• By using our services, you agree to follow and be legally bound by these Terms of Service. If you do not agree to these terms, please refrain from using our services.
• We may update these terms periodically, so please review them regularly. Continued use of the services after any modifications constitutes your acceptance of the updated terms.

2. Scope of Services

• Passive Coder offers professional website development, consulting, and digital solutions to support business growth.
• The exact services offered, including website development packages, consultations, and digital marketing assistance, are outlined on our website.
• We reserve the right to modify, suspend, or discontinue certain services without prior notice or liability.

3. User Responsibilities

• Users agree to provide accurate, current, and complete information as required by the onboarding and consultation processes.
• Users shall not engage in any unlawful or abusive behavior while interacting with Passive Coder or using our services.
• You are responsible for all actions and communications conducted under your account.

4. Payment Terms

• Payment terms for each service are communicated upfront. A minimum 60% upfront deposit is required.
• Remaining balances are due upon project completion unless a payment schedule is agreed upon in writing.
• All payments are non-refundable once project milestones are achieved or the final deliverables have been submitted.

5. Intellectual Property Rights

• Passive Coder retains all rights to the intellectual property related to templates, custom code, and proprietary designs created during the project, except for content or materials you supply.
• Upon full payment, we grant you a license to use the final deliverable for your business. You may not resell or repurpose the design, templates, or code without express permission.

6. Client Content and Privacy

• You are responsible for the legality, accuracy, and appropriateness of all content provided to Passive Coder.
• By providing content, you grant Passive Coder the right to use, modify, and incorporate it into your project as needed.
• We respect your privacy and comply with applicable data protection laws. Please refer to our Privacy Policy for more information.

7. Project Timelines and Revisions

• Project timelines are discussed and agreed upon during the onboarding process. However, timelines may be adjusted due to unforeseen circumstances or delays in client feedback.
• Our packages include a certain number of revisions, as specified in your package details. Additional revisions will incur an additional fee.

8. Limitation of Liability

• Passive Coder is not liable for any direct, indirect, incidental, or consequential damages arising from the use of or inability to use our services, even if we have been advised of the possibility of such damages.
• We are not responsible for the performance of third-party tools, platforms, or hosting services associated with your website.

9. Termination of Services

• We reserve the right to terminate or suspend services at our discretion if any terms are violated or if fraudulent or abusive activities are detected.
• Upon termination, any outstanding fees will become due immediately, and any data or access may be revoked.

10. Governing Law

• These Terms of Service are governed by the laws of The People Republic of Bangladesh.
• Any disputes arising out of or related to these terms shall be settled in the applicable jurisdiction’s courts.
