Passive Coder — Terms of Service

Welcome to Passive Coder! By accessing or using our services, you agree to comply with and be bound by the following Terms of Service. Please read these terms carefully, as they govern your relationship with Passive Coder.

1. Acceptance of Terms

By using our services, you agree to follow and be legally bound by these Terms of Service. If you do not agree, please refrain from using our services.
We may update these terms periodically, and continued use of our services after any modifications constitutes acceptance of the updated terms.

2. Scope of Services

Passive Coder provides professional website development, ready‑made website solutions, consulting, and digital products.
The exact services offered, including development packages, renewals, and optional maintenance, are outlined on our website and in your signed agreement.
We reserve the right to modify, suspend, or discontinue services without prior notice.

3. Client Responsibilities

• Clients must provide accurate, current, and complete information during onboarding.
• All required content (text, images, branding materials) must be supplied within agreed timelines.
• Clients must review staged websites within 3 days of receiving the preview link and submit revision requests promptly.
• Clients are responsible for all actions and communications conducted under their account.

4. Payment Terms

• A minimum 50% upfront deposit is required at the time of signing.
• The remaining balance is due before handover, after the client approves the staged site.
• Final payment must be cleared before full access (admin, hosting, domain, source code) is delivered.
• Payments are non‑refundable once milestones are achieved or deliverables handed over.
• If Passive Coder is unable to complete the project due to internal reasons, the advance payment will be refunded.

5. Intellectual Property Rights

• Passive Coder retains rights to proprietary templates, code, and designs created during the project.
• Upon full payment, clients receive a license to use the final deliverable for their business.
• Designs, templates, or code may not be resold or repurposed without written permission.

6. Client Content and Privacy

• Clients are responsible for the legality, accuracy, and appropriateness of all content provided.
• By providing content, clients grant Passive Coder the right to use, modify, and incorporate it into the project.
• Passive Coder respects client privacy and complies with applicable data protection laws. See our Privacy Policy for details.

7. Project Timelines and Revisions

• Timelines are agreed during onboarding but may be adjusted due to unforeseen circumstances or client delays.
• Clients must provide revision requests within 3 days of staged site delivery.
• Each additional revision round must be submitted within 1 day.
• Revisions beyond the agreed package will incur extra charges.

8. Renewal Packages

Renewal fees apply to Passive Coder’s development packages:

• Premium Development Package Renewal: BDT 20,000/year (includes domain + hosting renewal)
• Standard Development Package Renewal: BDT 10,000/year

Optional maintenance packages may be added separately if requested.

9. Warranty

Warranty begins after the Handover NOC is signed.

✅ Warranty Covers (Free):

• Bug fixing
• Plugin/theme/CMS updates
• DNS/domain issues (if registered with Passive Coder)
• Hosting technical support (if hosted with Passive Coder)

❌ Warranty Does Not Cover (Paid):

• Structural layout changes
• Design changes
• New features/pages
• Fixing client‑caused damage
• Malware cleanup due to unsafe plugins
• Content updates (unless maintenance package purchased)

10. Limitation of Liability

Passive Coder is not liable for any direct, indirect, incidental, or consequential damages arising from the use of or inability to use our services.
We are not responsible for the performance of third‑party tools, platforms, or hosting services associated with your website.

11. Termination of Services

• Passive Coder may terminate or suspend services if terms are violated or fraudulent/abusive activity is detected.
• If termination is initiated by the Client, the advance payment is non‑refundable once development has begun.
• If termination is initiated by Passive Coder due to inability to continue the project, the advance payment will be refunded.
• Upon termination, outstanding fees become immediately due, and access may be revoked.

12. Governing Law

These Terms of Service are governed by the laws of the People’s Republic of Bangladesh.
Any disputes shall be settled in the applicable jurisdiction’s courts.
